The Company Secretary and Accounts Analyst role is a combined compliance and accounts position focused on corporate secretarial filings, statutory records, audits, internal controls, and tax-related support. This role is a great fit for someone who is comfortable working with MCA-21 filings, company law documentation, audit coordination, and accounting support for local and parent-company reporting.
Responsibilities
Corporate secretarial responsibilities
Handle corporate secretarial compliance, including DIN and CIN-related work, DSC, MCA-21 e-filings, annual filings, XBRL forms, and master data corrections on the MCA portal
Prepare and maintain statutory books, registers, notices, minutes, and records for Board Meetings, General Meetings, Directors, and Members
Support company law matters, including alteration of Memorandum or Articles, authorised share capital increase, paid-up capital allotment documentation, auditor appointment forms, share transfers, and charge creation, modification, or satisfaction
Manage filings and documentation related to RBI and FEMA provisions, including FC-GPR, FIRC, FLA returns, and other applicable statutory forms
Support due diligence activities and maintain compliance documentation in line with applicable company law requirements
Accounts, audit, and tax responsibilities
Assist with statutory audit, IFC audits, internal controls, audit scope, evidence, priorities, testing procedures, and coordination with internal departments and external auditors
Support accounts-related closing and reporting activities, including book closure, month-end, quarter-end, and annual reporting to local management and the parent company headquarters
Assist with TDS return filing, including 24Q, 26Q, and 27EQ
Support tax audit under Section 44AB of the Income Tax Act 1961 and assist with GST audit activities
Assist with departmental audits related to GST, VAT, Customs, CAG, and other government departments
Support internal audit, stock audit, implementation of internal controls, and identification of control gaps
Requirements
Experience in company secretarial compliance, statutory filings, and corporate documentation
Knowledge of MCA-21, Companies Act 2013, statutory registers, Board Meeting documentation, General Meeting documentation, and annual filing requirements
Understanding of RBI and FEMA-related filings, including FC-GPR, FIRC, and FLA returns
Experience supporting statutory audits, IFC audits, internal controls, internal audits, or stock audits
Knowledge of TDS returns, GST audits, tax audits, and government department audit support
Ability to coordinate with internal departments, external auditors, and relevant authorities
Strong attention to detail, documentation skills, and ability to manage compliance and accounting-related records accurately
