We are having the position of Company Secretary with one of the renowned Japanese MNC 

Reason for hiring

Due to the need for a CS who can be registered in the company register on a full-time basis. Attendance at office can be discussed not every day, but when necessary.

Requirement

-minimum 3-5 years CS experience

 

Report to  Japanese MD

 

Job Responsibility 

  • Corporate Governance: Ensuring that the company complies with all legal and regulatory requirements related to corporate governance. This includes preparing and filing statutory documents, maintaining corporate records, and ensuring that board meetings are conducted in accordance with legal requirements.
  • Board Support: Providing support to the board of directors and board committees. This may involve preparing agendas, taking minutes of meetings, and ensuring that board decisions are implemented effectively.
  • Compliance Management: Monitoring changes in relevant laws and regulations and advising the board and senior management on compliance requirements. This includes ensuring compliance with company law, securities law, and other applicable regulations.
  • Secretarial Practices: Overseeing secretarial functions such as the maintenance of statutory registers, preparation of annual reports, and filing of various forms and returns with regulatory authorities such as the Ministry of Corporate Affairs (MCA).
  • Corporate Communication:  Serving as a point of contact between the company and its shareholders, regulators, and other stakeholders. This may involve communicating important information to shareholders, handling shareholder queries, and managing investor relations.
  • Risk Management:  Identifying and assessing risks to the company's business and advising the board and senior management on risk management strategies. This may include developing and implementing policies and procedures to mitigate risks.
  • Ethical Practices: Promoting ethical behaviour and corporate social responsibility within the company. This includes ensuring that the company operates in an ethical and socially responsible manner and upholds high standards of integrity and transparency.

 

If he/she has knowledge of Legal.. but it is not mandatory.

Legal Advisory: Providing legal advice to the board and senior management on a wide range of legal issues, including contract law, company law, and corporate governance matters.
